Definitions
The defined terms used across the Balt contractual documents.
Capitalized terms used in the General Terms, the Product Terms, the Usage Terms, the License Terms, and the Acceptable Use Policy have the meanings given below, unless otherwise defined in the document in which they appear.
Defined terms
- Affiliate: any entity that directly or indirectly controls, is controlled by, or is under common control with a Party, where « control » means ownership of more than fifty percent (50%) of the voting interests.
- Agreement: collectively the General Terms, these Definitions, the Product Terms, the Usage Terms, the License Terms, the Acceptable Use Policy, the applicable Order Form, the DPA, and any document referenced therein.
- Aggregated Data: the aggregated, de-identified, or anonymized data referred to in Section 2.3 of the General Terms.
- AI Subprocessors: the third-party artificial intelligence model providers powering all or part of the Service, the current list of which is set out in the Privacy Policy and in the DPA.
- Authorized User: any individual employee, contractor, or agent of Customer, or of a Customer Affiliate authorized under the Order Form, whom Customer permits to access and use the Service.
- Balt Application: the Balt software application, including its web and mobile components and its meeting bot, made available by Provider as part of the Service, in particular within the Cobalt platform, together with its updates, patches, and replacement components.
- Beta Features: the features, capabilities, or services made available on an experimental, beta, preview, or early-access basis, under Section 6 of the License Terms.
- Connected Platform: any third-party service or platform that Customer connects to the Service through an authentication mechanism such as OAuth, including Google Workspace (Gmail, Google Calendar), LinkedIn, supported job boards, and any other platform listed in the Documentation.
- Core Service: the ability to access the Balt Application and to execute AI-driven tasks and workflows, including candidate search and sourcing, meeting transcription, document generation, and sequences, and to connect supported Connected Platforms.
- Credits: the internal billing unit used to measure Service consumption, as described in Section 1 of the Usage Terms.
- Customer Data: the data, content, prompts, instructions, configurations, and other inputs submitted to or processed by the Service by or on behalf of Customer or its Authorized Users, including Outputs and content retrieved from Connected Platforms.
- Data Processing Agreement or DPA: the agreement governing Provider's processing of personal data on Customer's behalf as a processor within the meaning of Article 28 GDPR, available on request at legal@cobalt-ia.com.
- Documentation: the user guides, technical specifications, security pages, and other materials made available by Provider at cobalt-ia.com or within the Service describing the Service's features and operation.
- Effective Date: the date on which Customer first accepts the General Terms, whether by clicking acceptance, accessing the Service, or executing an Order Form referencing them, or, if later, the effective date specified in the Order Form.
- High-Risk Action: an action category designated as such in Section 3.3 of the Product Terms, which always requires explicit prior approval by an Authorized User before execution and can never be configured as a Pre-Authorized Action.
- Initial Term: the initial subscription period specified in the Order Form, beginning on the Effective Date.
- Order Form: as applicable (a) the online ordering or checkout flow through which Customer confirms its order and Provider acknowledges acceptance, whether by automated confirmation, email receipt, or activation of the Service, (b) a written or e-signed ordering document, or (c) a signed quotation.
- Outputs: the content, decisions, suggestions, or actions generated by the Service's artificial intelligence components in response to Customer Data, prompts, or configured workflows.
- Pre-Authorized Action: an action that Customer has authorized the Service to execute autonomously, without per-action approval, through the configuration of permission scopes and approval policies in the Service.
- Price List: the pricing information communicated by Provider describing the plans, Credit allocations, overage rates, and other applicable fees, as updated from time to time.
- Provider: SKILLFORGE APP, a French simplified joint stock company with a share capital of EUR 1,000, identified under SIREN 993 554 203, with registered office at 2 Rue des Commères, 78310 Coignières, France.
- Regulated Data: the categories of data whose submission to the Service is prohibited, listed in Section 3 of the Acceptable Use Policy.
- Service: the Balt service together with the Balt Application and the related software, integrations, and Documentation.
- Subscription Term: the Initial Term and each Renewal Term during which Customer is entitled to access the Service, as specified in the Order Form.

- General Terms : The core contractual terms governing access to and use of the Balt service.
- Acceptable Use Policy : The rules for acceptable and prohibited use of the Balt service, and prohibited data.
- Product Terms : Service description, AI functionality, autonomous actions, connected platforms and security.
- Usage Terms : How Credits, allocations, top-ups and accounts work.
- License Terms : The license granted to use the Balt service, and its restrictions.
